Directors & Officers Liability Insurance is designed to protect the assets of Directors or Officers by providing indemnity for any loss arising from a claim as a result of a "Wrongful Act" committed while they are carrying out their duties and obligations in their position as a Director or Officer. In today's litigious environment, Directors or Officers are held personally liable for the management of the affairs of the company. The exposure is not limited to large corporations, but Directors or Officers of small "Mum and Dad" companies are similarly exposed.

It is important to note that the intention of the Directors & Officers Liability Insurance policy is only to indemnify the Directors and Officers for a wrongful act committed by them in their role as a Director or Officer. The company/corporation is not covered by this policy except to the extent that where the Director or Officer of the company has been acquitted, the legal expenses reimbursed by the company can be claimed.

The major exposure for Directors and Officers are:

Employees Actions alleging discrimination, harassment, breach of employment contract, defamation, wrongful discipline
Creditors Alleging that the Director allowed the company to trade whilst knowing it could not pay its debts
Government agencies Directors & Officers may be personally liable for breaches of hundreds of statutes including "Occupational Health & Safety" breaches.
Competitors Trades Practices Act claims brought against the Directors for misleading and deceptive type of conduct
Shareholders alleging that the Directors mismanaged the operations of the company and its funds
